Thank you for joining Zuluhood!

These Terms and Conditions form a legally binding agreement governing your access to and use of the Zuluhood mobile device application and application program interfaces ("Zuluhood Mobile App"), websites, and technology platform ("Zuluhood Web"), along with all associated services ("Zuluhood Services"). Together, they are referred to as the "Zuluhood Platform" or simply "Zuluhood".

By registering an Account on Zuluhood and using its services, you confirm that you are 18 or older and fully understand and agree to these Terms and Conditions. If you are under 18, your legal guardian must review and agree to these Terms of Use on your behalf.

1. INTRODUCTION

By accessing or using Zuluhood, you agree to be bound by these Terms and Conditions, which incorporate the Privacy Policy found at http://www.zuluhood.com (collectively referred to as the "Terms"). These Terms apply to all users of the Zuluhood Platform. Please take a moment to carefully review the following Terms before using Zuluhood. If you do not agree with these Terms, we kindly ask you not to access or use Zuluhood. Your continued use of Zuluhood indicates your acceptance of these Terms.

These Terms may be amended from time to time. The latest version of these Terms is available to you at any moment at www.zuluhood.com and in your Zuluhood Mobile App. If you would like more information on the use of the Zuluhood Services, do not hesitate to contact us at Users@Zuluhood.com.

These Terms are a legally binding agreement between Brombul Ltd., with a registered address at Rudeška cesta 246, 10000 Zagreb, Croatia, as the owner and creator of Zuluhood (referred to as "we," "us," or "our"), and you, the User, who has chosen to use Zuluhood (referred to as "you," "your," or "User").

To access the features and services offered by Zuluhood, you need to be connected to the internet and create a personal Zuluhood Account. By creating your Account and using the Zuluhood Platform, you acknowledge that you have read, understood, and agreed to these Terms.

Please be aware that the Service Providers, who offer professional security services through the Zuluhood Platform, may have their own terms and conditions. It is essential to accept their specific terms for ordering and using their services, which may include certain disclaimers and limitations of liability.

2. DEFINITIONS

"Account" refers to User's personalized profile within the Zuluhood platform, accessible through the Zuluhood Mobile App after completing the registration process. By registering with Zuluhood, providing required personal information, and agreeing to these Terms, Users can create and access their Zuluhood Account. Within their Zuluhood Account, Users can access a variety of features and options included in Zuluhood Services.

"User" or "you" means the holder of the Account on the Zuluhood Platform.

"Zuluhood Platform" or "Zuluhood" means the Zuluhood mobile, tablet, and other smart device application, application program interfaces (collectively, "Zuluhood Mobile App"), websites, and technology platform (collectively, "Zuluhood Web") through which Zuluhood Services are made available, maintained and/or hosted by us.

"We", "us" or "our", means Brombul Ltd., creator and owner of Zuluhood and a limited liability company incorporated under the laws of Croatia, having its registered address at Rudeška cesta 246, 10000 Zagreb, Croatia, with EUID HRSR.081145083 and VAT number HR10843547902. You can contact us anytime at users@zuluhood.com.

"Zuluhood Services" means various functionalities or services that Users and/or Service Providers can use, request, provide, order, purchase, buy, pay or consummate through the Zuluhood Platform.

"Service Provider" refers to an independent third-party professional provider of residential security and/or safety products or services, as well as any other security, safety, or home-related product or service, including those accessible free of charge, available through the Zuluhood Platform from time to time.

"Services" means various security, safety or Home related product or services provided by the Service Provider that you can order, activate, acquire, purchase, buy, pay, reserve, or consummate through the Zuluhood Platform.

 "Service Request" or "Request" means your order of Services through the Zuluhood Platform. Service Request confirmed on both sides creates a binding contract between the Service Provider and you, User, regulated by the Service Terms.

"Home" means apartment, house or another facility located at the address you entered into Zuluhood Platform under your Account. The Home does not necessarily have to be the place where you live.

"Watcher" is a User who voluntarily monitors another User's Home without any charge. The User chooses and invites them to oversee a specific Home listed under the User's Account. Watchers can also initiate or participate in Home chat and respond to Alarms for that particular Home.

"Local Watcher" is a Watcher who is reachable by any User in their neighborhood through the local map in the Zuluhood Mobile App.

"Tribe Members" are Users invited by another User to be part of a specific Home under the User's Account. The inviting User can give them certain authorizations, check if they are at the location of their Home, or their statuses, and communicate with them about any home-related matters. Usually, Tribe Members are people who share the same household.

"Tribe" consists of the User and all the Tribe Members associated with a specific Home under the User's Account.

"Connected Device" is a smart home sensor and/or video and/or voice communication system and/or application-based (including mobile phone applications) system and/or personal emergency response systems, or any other device or platform connected to Zuluhood, from which notifications you define can be received in Zuluhood as Alarms, displayed in Zuluhood Mobile App, and forwarded to Tribe Members and Watchers or Service Providers as Service Requests.

"Alarm" is an urgent or ordinary notification, request, or alert sent through the Zuluhood Platform, which can prompt other Users in roles of Tribe Members and Watchers to take appropriate action or respond. It can be triggered by a Connected Device, you, or your Tribe Member, and may also be forwarded as a Service Request to the Service Provider if the alarm monitoring service for your Home is active.

"Home chat" is a feature in the Zuluhood mobile application that enables direct chat communication with your Tribe Members and Watchers to address specific issues related to your Home or Tribe swiftly. You, your Tribe Member, or your Watcher can initiate it for a particular Home. It serves as a focused messaging channel, providing a convenient and secure way to communicate, share information, and coordinate efforts within your community.

"Service Terms" or "Terms of Service" or "ToS" are the terms and conditions of the Service Provider for providing the Services offered through Zuluhood, which define the contractual relationship between the Service Provider and you, the User.

"Service Area" means the geographical area where Service Provider provides Services through Zuluhood.

3. ZULUHOOD PLATFORM AND SERVICES

Zuluhood is a technology platform that enables Users to organize preventive and responsive actions focused on the security and protection of their Homes through the Zuluhood Mobile App. It provides easy access to Services offered by Service Providers and operates as a "peer-to-peer" platform, allowing Users to create their own community-based safety net consisting of other Users in the roles of Tribe Members and Watchers, with whom they can communicate through the Zuluhood Mobile App.

You can access Zuluhood Services by downloading Zuluhood Mobile App on your mobile device and creating your Account. When you create your Account, you will be required to select a passcode ("Passcode"). You shall protect your Account and Passcode by taking all necessary precautions to prevent anyone else from using them. That includes not sharing the Account or the Passcode and not letting anyone else access your Account.

If you become aware of or reasonably suspect any security breach, including but not limited to the loss, theft, or unauthorized disclosure of your Passcode, you must immediately notify us and change your Passcode. Please be aware that you are solely responsible for any activities that occur through your Account, including purchases, regardless of whether they were initiated by you.

Zuluhood enables Service Providers to promote their products and services and make them available for ordering and purchasing through the Zuluhood mobile app. However, please note that the availability of these services may vary depending on the location, so make sure to check for the address of your Home that you provided in Zuluhood.

By using Zuluhood, you can also create your own local community with other active and willing Zuluhood Users - your Tribe Members and Watchers. You can engage with them in Alarm and Home chat whenever you need assistance or want to address a specific issue related to your Home. The assistance provided by Watchers, including Local Watchers, is offered to you free of charge.

Services are available through subscriptions. To engage a Service Provider, you'll need to subscribe to a specific plan that grants you access to certain Services at set prices. Once subscribed, you can easily activate, request, or purchase Services for your Home using the Zuluhood Mobile App. Each activation, request, or order is a Service Request, which Zuluhood forwards to the Service Provider.

If the alarm monitoring service is active for your Home, a Service Request is automatically triggered with every Alarm, requiring an immediate response from the Service Provider. Please be aware that the availability of Services depends on your Home's location and Service Area. Before subscribing, check the availability of services in your Zuluhood Mobile App.

During Service delivery, you will receive notifications from the Service Provider in your Zuluhood mobile app. Zuluhood is also responsible for handling and processing payments for your Service Requests, including issuing invoices and verifying payments through third parties. These functionalities enable us to charge you for the Services on behalf of the Service Provider.

To fully utilize all the benefits of Zuluhood, we recommend consenting to allow Zuluhood to process your location data, as certain Zuluhood Services may not be accessible otherwise. It's important to note that Zuluhood does not continuously track your mobile phone's location; rather, it only checks your phone's location when you define the address of your Home to position you in the right neighborhood or receive notifications from your mobile phone when it enters or leaves the area around your Home. If you and your Tribe Members give Zuluhood consent to process your location data, you will be able to know if your home is empty and if your Tribe Members are at home. This information could be extremely valuable in urgent situations, as your Tribe would have the information that one of you might be at home and in potential jeopardy. You can also invite children (persons under 18 years of age) to join your Tribe as Tribe Members. For information on the processing of location data and personal data of children, please refer to our Privacy Policy.

4. ACCESS AND USE OF ZULUHOOD SERVICES

The basic use of Zuluhood requires internet access and a mobile phone. You must download and install the Zuluhood mobile app and create an Account in Zuluhood by entering your first name, last name, date of birth, and mobile phone number capable of receiving SMS messages. You are responsible for all activities that occur under your Account.

To be able to use the full range of Zuluhood Services, use Services, or become a Watcher for another Zuluhood User, you must be at least 18 (eighteen) years old. However, we wanted to enable our Users to include and protect the youngest members of their Tribe as the most vulnerable, so we have provided certain functionalities that Zuluhood offers to children. Of course, we have taken all necessary precautions to ensure children's safe use of the Zuluhood platform. Therefore, a registered User can invite a child under 18 to join Zuluhood only as a Tribe Member. The User who invites a child to join Zuluhood as a Tribe Member confirms that they are the parent or legal guardian of the child or have obtained the consent of the child's parent or legal guardian before sending the invitation to the child to become a Tribe Member.

The User who invites a child under the age of 18 to join their Tribe as a Tribe Member fully controls the Account of that child and manages the Zuluhood Services that the child can use. Only the adult User who invites has a contractual relationship with us governed by these Terms. Children as Tribe Members do not enter into any contractual relationship with us. For more information about the processing of children's personal data, please refer to our Privacy Policy.

While some of the Zuluhood functionalities require a subscription, basic ones are free of charge. Payment of subscription can only be made through Zuluhood Mobile App, as described in Chapter 8. of these Terms.

Zuluhood Services and Services are made available for personal and non-commercial use only. Therefore, you are not allowed to re-sell, deep-link, use, copy, monitor, scrape, display, download, or reproduce any content, information, software, products, or services available on the Zuluhood Platform for any commercial or competitive activity or purpose.

5. IDENTITY VERIFICATION

We want you and all other Users to be as safe as possible when using Zuluhood. Therefore, we may provide tools intended to help with identity verification. Users in Zuluhood interact with their public profiles, but the name, surname, and mobile phone number are shared between you and the Users who accepted your invitations to join your Tribe or become your Watchers and between you and the Users whose invitations you have accepted. However, you are solely responsible for determining the identity and suitability of others with whom you may interact through the Zuluhood Platform. We do not represent or warrant that our tools are sufficient to determine whether it is appropriate and safe for you to interact with another User. Further, we do not endorse any persons who use or register for Zuluhood Services. We do not investigate or verify any User's reputation, conduct, morality or criminal background. Therefore, we encourage you to take precautions when interacting with other Users, especially when contacting or meeting a stranger in person for the first time.

We use the Know-Your-Customer ("KYC") method for identity verification. The process involves comparing the User's photo from their official document (ID card or passport) with a selfie taken just before the comparison. To complete the identity verification process, the User must also confirm their email address. We have implemented this method to ensure that Zuluhood is a safe place, free from fraud, and to enable secure use of Zuluhood Services. Additionally, verifying your identity is necessary if you wish to use the Services provided by the Service Providers. This is essential to confirm the validity of contracts between you and the Service Providers, which are accepted online, and to ensure the identity of the person seeking highly sensitive security services. Please note that Users whose identity is not confirmed will not be able to utilize the Services through Zuluhood Platform. Once a User's identity has been verified, they will be designated as a "Verified User," and this status will be visible to other Users on their public profile. For more information about the KYC method, please refer to our Privacy Policy.

6. INTERACTIONS WITH OTHER USERS

Zuluhood allows Users to create their own security network consisting of other Users, in the roles of Tribe Members and Watchers, with whom they can connect, communicate, and interact within the Zuluhood Mobile App.

You are solely responsible for your interactions with other Users. We reserve the right but are not obligated, to monitor interactions between you and other Users. We will use data from these interactions when necessary to fulfill our obligations arising from these Terms.

It's important to emphasize that Zuluhood is just a platform that facilitates communication and interaction with others in your neighborhood. We cannot be held responsible for your interactions with other Users, so we urge you to exercise caution and take care of your safety when using Zuluhood Services.

However, to ensure that Zuluhood remains a safe place for everyone, certain rules are in place that are an integral part of these Terms. Violations of these rules may result in a range of actions, including, but not limited to:

  • removal of content that violates the rules;

  • warning to the User;

  • temporary or permanent deactivation of the Account.

CONDUCT POLICY
Don't Spam. We focus on safety and value human interaction. However, we also want the content in Zuluhood, sent to our Users in Alarms and Home Chats to be valuable and contribute to their safety when needed.

If you are a Watcher, don't charge for your help. We are here to help each other in case of need. If you decide to help another Zuluhood User when he/she feels insecure and responds to an Alarm or Home chat, do it because it makes you a better person and because he/she might return the favor when you shall need it. And remember, you are not a vigilante - call the police or other authority anytime you sense possible danger.

Don't Intimidate, Stalk, or Harass. Stalking, intimidation, threats, and harassment of other Users are prohibited. Harassment is defined as a pattern of offensive behavior that appears to have the purpose of adversely affecting a targeted person or persons. Examples of harassment include making threats, repeated unwanted contact with a person, and posting the personal information of another person. Zuluhood reserves the right to take action (see above) on Accounts we believe may pose a threat to other Users.

Be Yourself. Misrepresenting yourself as someone else is prohibited.

Keep It Legal. Do not engage in or encourage illegal activity; do not violate applicable law or regulation.

CONTENT POLICY
When engaged in Alarms or Home chats, you interact with your Tribe Members and Watchers and share certain content ("User Content"). User Content that we believe, in our sole discretion, falls into any of the following categories is prohibited:

Hate Speech and Offensive Language: Hate speech, particularly speech that disparages any ethnic, racial, sexual or religious group by stereotypical depiction or is otherwise abusive or inflammatory, including content that contains offensive language or images.

Sexually Explicit Content: Contains nudity, sexually explicit content or is otherwise obscene, sexually exploitive of minors, pornographic, indecent, lewd, or suggestive.

Identity-revealing information: Contains private or personal information about another person, such as a phone number or address. If you decide to share, only share your own personal information or the personal information of a person who has given you permission for such sharing.

Illegal and Infringing Content: Unlawful content or content for which Zuluhood has received a court order to remove or content that infringes on the rights of a third party, including intellectual property, privacy, publicity or contractual rights.

Glamorizing Violence: Incites violence or characterizes violence as acceptable, glamorous or desirable.

Commercial or Promotional: Contains unsolicited promotions, political campaigning, advertising or solicitations - including content used to promote a business or product - without our prior written consent.

Reporting violations. If you feel another person is violating these policies, don't hesitate to contact us immediately by sending an email to Users@Zuluhood.com.

7. SERVICES PROVIDED BY THE SERVICE PROVIDERS

By using the Services provided by the Service Provider, you enter into a direct, legally binding agreement with the Service Provider for the product or service you request, activate, or purchase, which is governed by the Service Terms. After you submit a Service Request, we act solely as an intermediary between you and the Service Provider. We transmit your Service Request's relevant details to the Service Provider and display notifications and comments from the Service Provider in your Zuluhood mobile application.

We do not sell or offer any security product or service – the Services are exclusively offered, sold, and provided by the Service Providers. However, we facilitate access to these Services and display information provided by or made available by the Service Providers. This includes prices, fees, availability, descriptions, terms, and other relevant information displayed through the Zuluhood platform.

PAYMENT AND PRICES OF SERVICES
The prices of Services you access through Zuluhood depend on the specific Service Provider, and we have no influence over the quantity and pricing of their Services. To consume the Services, you must agree to the Service Terms of the Service Provider, which are available in your Zuluhood mobile app.

Access to Services is provided through a subscription. Although we ask you to subscribe to access the Services, we do not charge you any fees when you purchase or use the Services. Instead, we charge a certain fee to the Service Providers when you purchase their Services.

We facilitate the payment process for the Services you purchase through the Zuluhood Mobile App and process the payment for and on behalf of the Service Provider using a third-party mobile payment service. The payment made through this process is equivalent to your payment directly to the Service Provider.

Unless otherwise agreed or specified in the Service Terms, all payments for Services are due immediately after the Service Request is generated. If the payment is unsuccessful, the Service Request will be automatically declined. The payment is securely processed from your credit/debit card using secure mobile payment services and forwarded to the Service Provider's bank account. Any payment we facilitate on behalf of the Service Provider constitutes a payment made on your behalf for the price of the relevant product or service and includes applicable taxes, including VAT, where required by law.

Certain Services may result in additional charges to you during their delivery as specified in the Service Terms, such as charges for extra work provided by Service Provider. Once you generate a Service Request that includes such Services, you agree to pay all the applicable charges, including such additional charges. Payment of such additional charges will be automatically processed from your credit/debit card at the latest upon their delivery.

If your primary payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that we may, in the name and on behalf of the Service Provider, use additional payment methods in your Account, if available.

We will inform you if we are unsuccessful in collecting payment from any of the payment methods available under your Zuluhood Account. We may also temporarily suspend any active Service Requests that may cause additional charges and disable you from generating any new Service Requests until the collection of the outstanding amount is successful. To clear an outstanding payment, you may check or update your payment methods under your Zuluhood Account. Zuluhood will repeatedly try to collect the outstanding amount from all available payment methods in your Account for a certain period and will inform you once successful. If you need help clearing your outstanding payments, don't hesitate to contact us at users@zuluhood.com.

An invoice for paid Services will be sent to you to the email address you have provided us with.

Unless otherwise specified, you are not entitled to a refund for the paid Services after the Service Provider has accepted the Service Request. You can always cancel your Service Request, but depending on the Service Terms from the Service Provider, you may be charged a cancellation fee or denied a refund.

If you have a justified complaint regarding provided Service, you are entitled to a refund only directly from the Service Provider, per the Service Provider's Service Terms.

Zuluhood is not an open platform (like Amazon or eBay) where end-users or any other merchants can make their products available. Only Service Providers with a commercial relationship with us (through a special agreement) will be made available on the Zuluhood platform (for the promotion of their services).  

8. SUBSCRIPTION

Zuluhood Mobile App is free to download and use. However, some Zuluhood Services are available only in paid subscription plans.

Zuluhood paid subscription plans are considered "in-app" purchases and are processed and managed by the mobile app provider, such as Apple's App Store or Android's Google Play store, from which you originally downloaded the Zuluhood Mobile App. Therefore, once you decide to subscribe, you will be subject to the terms and conditions applicable to "in-app" purchases of your specific mobile app provider. You may access the applicable "in-app" purchase rules and policies directly from the applicable app store(s). Additional terms or conditions may apply to a subscription at the time of order or renewal.

Zuluhood subscriptions are auto-renewing subscriptions. This means your subscription is automatically renewed at the end of the subscription period. You may modify or cancel your subscription at any time by signing into your App Store or Google Play and changing the settings. Detailed guidelines on how to do it are available for specific mobile app providers:

Since subscription payment is managed by your mobile app provider, i.e. Apple via App Store or Google via Google Play, we are not able to process any refund request for Zuluhood subscription plans. We hope you will be pleased with the use of Zuluhood Services and the selected subscription plan, but in case you need to claim a refund, we advise you to contact Apple or Google customer service for refunds. 9. DISCLAIMERS, LIMITATION OF LIABILITY AND INDEMNITY

DISCLAIMERS
We make no representation, warranty, or guarantee regarding the safety, reliability, timeliness, quality, suitability, or availability of the other Users, Watchers, Service Providers, Services, or any Zuluhood Service requested through the use of the Zuluhood Platform or that the use of Zuluhood Services will be uninterrupted or error-free.

Although we shall use reasonable skill and care in managing Services offered through Zuluhood Platform, we shall not verify if, and cannot guarantee that all information related to the Services is accurate, complete or correct, nor can we be held responsible for any errors (including manifest and typographical errors), any interruptions (whether due to any (temporary and/or partial) breakdown, repair, upgrade or maintenance of Zuluhood Platform or otherwise), inaccurate, misleading or untrue information or no delivery of information. Zuluhood does not constitute and should not be regarded as a recommendation or endorsement of the quality, service level, qualification or (star) rating of any Service Provider (or its employees, vehicles, products or services) made available, save as explicitly indicated or set out otherwise.

You agree that the entire risk arising from your use of Zuluhood Services, and any service or product requested in connection therewith, remains solely with you, to the maximum extent permitted under applicable law. We, for our part, have provided all the conditions to make Users feel as secure as possible when accessing and using Zuluhood.

Although we will do our best to provide constant, uninterrupted use of Zuluhood Services, we do not guarantee this. We accept no responsibility or liability for any interruption or delay.

We are not a party to, have no involvement or interest in, make no representations or warranties as to, and have no responsibility or liability with respect to any communications, transactions, interactions, disputes or any relations whatsoever between you and any other Users. You are solely responsible for your interactions with other Users of Zuluhood.

We do not claim or warrant that the implemented tools, such as the KYC method, are sufficient to determine whether it is appropriate and safe for you to interact with another User.

LIMITATION OF LIABILITY
We shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of Zuluhood Services, regardless of our negligence (either active, affirmative, sole, or concurrent), even if have been advised of the possibility of such damages.

We shall not be liable for any damages, liability or losses arising out of your use of or reliance on the Zuluhood or your inability to access or use the Zuluhood Services; or any transaction or relationship between you and any third party in connection with the Zuluhood, even if we have been advised of the possibility of such damages.

Because Zuluhood is merely a platform, in the event that you have a dispute with one or more Users and/or Service Providers, to the fullest extent permitted by applicable law, you relieve us (and our officers, directors, members, employees, agents and affiliates) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

We shall not be liable for delay or failure in performance resulting from causes beyond our reasonable control, especially regarding the Zuluhood Services provided by the third-party providers.

In case you request the provision of Services via the Zuluhood Platform, they will be provided by third-party providers specialized in that area - Service Providers. You agree that we have no responsibility or liability to you regarding Services provided by the Services Providers other than as expressly set forth in these Terms.

The limitations and disclaimers in this section do not purport to limit liability or alter your rights as a consumer that cannot be excluded under applicable law. Because some states or jurisdictions do not allow the exclusion of or the limitation of liability for a certain type of damages, in such states or jurisdictions, our liability shall be limited to the extent permitted by law. This provision shall have no effect on our choice of law provision set forth below.

INDEMNITY
You agree to indemnify and hold us and our affiliates, directors, employees and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with: (i) your use of the Zuluhood Services through your Account, (ii) your breach or violation of these Terms or connected policies or guidelines, (iii) our use of your User Content or (iv) your violation of the rights of any User, Service Provider or any other third-party provider in Zuluhood.

10. INTELLECTUAL PROPERTY RIGHTS

Intellectual Property Rights imply copyrights and related rights (including database, catalogue, and photography rights), patents, utility models, design rights, trademarks, tradenames, trade secrets, software, know-how, and any other form of registered or unregistered intellectual property rights. All Intellectual Property Rights in or related to Zuluhood and thereto related documentation and all parts and copies thereof shall remain exclusively vested with and be the sole and exclusive property of us, Brombul Ltd. and/or our subcontractors/licensors.

These Terms do not grant you any Intellectual Property Rights connected to the Zuluhood, and all rights not expressly granted hereunder are reserved by us, Brombul Ltd. and our subcontractors/licensors. You also must not reverse-engineer any part of Zuluhood (that is, reproduce them after a detailed examination of their construction or composition).

11. TERM AND TERMINATION

These Terms are in force as a binding Agreement between us, Brombul Ltd., and you, the User, until your Account is deactivated or until further notice, whichever occurs first.

You can discontinue the use of Zuluhood and Zuluhood Services at any time. Upon your request, we will close your Account. We will continue to process certain data even after your Account is deactivated. For more detailed information, please refer to our Privacy Policy. In case of outstanding payments, we reserve the right to continue seeking payment even after the termination of these Terms.

We also reserve the right to discontinue providing Zuluhood Services permanently or temporarily at any time without stating a reason or providing prior notice. All outstanding payments will survive the termination or cancellation of your Account, and we retain all rights to claim payment after the termination of these Terms.

12. APPLICABLE LAW AND DISPUTE RESOLUTION

These Terms are governed and construed in accordance with the laws of the Republic of Croatia.

If you are a consumer in the European Union, please note that your rights granted by mandatory consumer protection laws in your country of residence cannot be waived.

Disputes arising from these Terms shall be resolved by the competent court in Zagreb. However, a consumer in the European Union may always initiate proceedings before the competent court of their place of residence.

If you are a user residing in the European Union, you can use the online dispute resolution platform managed by the European Commission. This platform can be found at ec.europa.eu/odr.

13. AMENDMENTS

We reserve the right to make changes to these Terms, or any policy or guideline of Zuluhood Services, at any time and at our sole discretion. If we make changes to these Terms, we will provide notice of such changes, including by revising the date at the top of these Terms.

We shall publish the amended Terms on www.Zuluhood.com as well as inform you of the change at least 15 days before the changes come into force. Changes shall enter into force 15 days after the notification. If you agree with the changes, you are not required to do anything. However, if you disagree with them, you need to tell us that you want to close your Account before the changes are made.

14. OTHER PROVISIONS

You may not assign these Terms or rights and obligations arising from these Terms without our prior written approval. We may assign these Terms or rights and obligations arising from these Terms without your consent to a subsidiary or affiliate; an acquirer of our equity, business or assets; or a successor by merger.

Any purported assignment in violation of this section shall be void. No joint venture, partnership, employment, or agency relationship exists between you and us or any third-party provider as a result of this Agreement or use of the Zuluhood Services.

Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall not affect remaining provisions, which shall be enforced to the fullest extent under law.
